Mr. Nielsen is a transactional attorney with over 20 years of experience in private and in-house public company practice. Prior to joining Neufeld Marks, Mr. Nielsen provided outside general counsel and consulting services for several companies in the real estate and fashion industries. In the real estate industry, Mr. Nielsen represents owners, developers, investors, corporate users and lenders in connection with the acquisition, financing, entitlement, development, design and construction, sale and leasing of retail, residential, office, industrial, and hotel and hospitality projects. In the fashion industry, Mr. Nielsen represents companies in brand licensing and in various transactional matters related to the development, marketing, production, sale and distribution of product. Mr. Nielsen represents all types of companies with respect to general business matters, entity formation, joint ventures, asset purchases and sales, corporate governance and risk management, and enterprise and project financing. Mr. Nielsen also represents lenders with respect to loan documentation, due diligence and loan workouts.
Mr. Nielsen previously served as general counsel and corporate secretary of a public real estate company. He was responsible for overseeing all transactional matters, and for corporate governance, risk management, legal compliance, litigation management, and general employment matters for the company. As general counsel, Mr. Nielsen assisted the company in obtaining enterprise-level financing with CalPERS and in a $450 million initial public offering. Mr. Nielsen oversaw all legal aspects for over fifty real estate development and investment projects, including the development and construction of a 34-story mixed use tower, adaptive reuse and other urban infill projects, retail and restaurant projects, industrial projects (including manufacturing, warehousing, and food storage and processing facilities), and other commercial and residential projects.
Prior to his experience in public company practice, Mr. Nielsen worked for several private firms representing small, mid-cap and large companies alike. Some of his representative matters include shopping center development for a Fortune 100 company, a $750 million loan facility for development of a pharmaceutical company campus, a bid for a $1 billion Las Vegas hotel and casino in bankruptcy, various commercial and residential condominium projects, design and construction documentation for a technology company campus, and negotiation of hotel franchise and management contracts.
Mr. Nielsen graduated magna cum laude in 1995 from the J. Reuben Clark Law School at Brigham Young University, where he served as a member of the Moot Court Team and Brigham Young University Law Review. He thereafter served as law clerk to the Hon. Howard M. Kirshbaum of the Colorado Supreme Court prior to starting private practice. Mr. Nielsen is also a California licensed real estate broker.
